1. Acceptance of Terms

These Terms of Service (“Terms”) form a binding agreement between you (“you” or “user”) and Dynasty Stock Exchange, a company incorporated under the laws of the State of Michigan doing business as “Dynasty Exchange” (“Dynasty Exchange,” “we,” “us,” or “our”). They govern your access to and use of the Dynasty Exchange website, applications, and related services (collectively, the “Service”).

By creating an account, connecting your Sleeper account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Description of the Service

Dynasty Exchange is a web-based companion platform for dynasty fantasy football. The Service includes account management, authentication via Sleeper, custom player valuations, trade analysis tools, league syncing, user-created watchlists, optional Premium subscription features, and related notifications.

Dynasty Exchange is an independent product and is not affiliated with, endorsed by, or sponsored by the National Football League (NFL), Sleeper, or any professional sports league, team, or players association, except as may be separately and explicitly stated.

3. Eligibility

You must be at least 18 years old to create an account and use the Service. By using Dynasty Exchange, you represent that you meet this age requirement and that you have the legal capacity to enter into these Terms.

The Service is intended primarily for users located in the United States and Canada. We may restrict availability in certain jurisdictions at our discretion, and incidental use from other regions does not expand our intended market.

4. Accounts & Sleeper Authentication

Dynasty Exchange uses Sleeper as a third-party authentication provider. When you connect your Sleeper account, you authorize Dynasty Exchange to access certain league, roster, and profile information from Sleeper in accordance with Sleeper’s own terms and your permissions. Your use of Sleeper is governed separately by Sleeper’s terms of service and privacy policy, which we do not control.

You are responsible for maintaining the security of your account and for all activity that occurs under it. Notify us immediately at contact@dynastystockx.com if you suspect unauthorized access.

We may suspend or terminate accounts that provide false information, violate these Terms, or pose a security risk to the Service or other users.

5. Subscriptions & Payment

5.1 Premium Subscriptions

Dynasty Exchange offers optional paid “Premium” subscription tiers that unlock additional features. Pricing and included features are described on our pricing page at the time of purchase and may change on a going-forward basis with notice.

5.2 Billing

Subscriptions renew automatically for successive billing periods unless canceled before the renewal date. Payment is processed by our third-party payment processor, Stripe; we do not store full payment card numbers.

5.3 Cancellation & Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you retain access to Premium features until that time. Except where required by law, payments are non-refundable, including for partial billing periods.

5.4 Price Changes

We will provide advance notice before any price increase takes effect on your next renewal.

6. User Content & Watchlists

The Service allows you to create custom player valuations, watchlists, and related content (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Dynasty Exchange a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display it solely for the purpose of operating and improving the Service.

You are solely responsible for your User Content and represent that it does not infringe the rights of any third party or violate applicable law.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Scrape, reverse-engineer, or use automated means to access the Service outside of any provided API;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorized access to the Service, other accounts, or connected Sleeper data;
  • Upload or transmit malicious code, spam, or content that is unlawful, harassing, or infringing;
  • Misrepresent your identity or impersonate another person or league;
  • Resell, sublicense, or commercially exploit the Service without our prior written consent.

We may suspend or terminate access for violations of this section, in our reasonable discretion.

8. Third-Party Services & League Data

League syncing features retrieve data from Sleeper and, where applicable, other connected third-party platforms. We do not control and are not responsible for the accuracy, availability, or policies of these third-party services.

8.1 Not a Gambling Service — No Real-World Monetary Value

Dynasty Exchange is not a gambling, betting, wagering, or real-money gaming platform. Player valuations, trade values, rankings, scores, and any other numeric or point-based values displayed within the Service are subjective, model-derived metrics generated for informational and entertainment purposes only.

These values do not represent, are not backed by, and cannot be exchanged, redeemed, or cashed out for real money, cryptocurrency, or any other item of real-world monetary value. Dynasty Exchange does not offer real-money contests, does not accept wagers, and does not facilitate cash or prize payouts of any kind.

Some leagues you sync from Sleeper or other platforms may independently involve buy-ins or prizes arranged directly between league members or commissioners. Dynasty Exchange has no role in, does not administer, and assumes no responsibility for any such arrangements — they exist entirely outside the Service and outside these Terms.

8.2 General Disclaimer

Player valuations, trade analysis, and related insights reflect models and opinions, not guarantees of player performance, trade fairness, or league outcomes.

9. Intellectual Property

The Service, including its software, design, valuations models, trademarks, and content (excluding User Content and third-party data), is owned by Dynasty Exchange or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial use.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. PLAYER VALUATIONS AND TRADE ANALYSIS ARE OPINIONS AND MODELS, NOT GUARANTEES, AND WE DO NOT WARRANT THEIR ACCURACY OR COMPLETENESS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNASTY EXCHANGE AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

12. Indemnification

You agree to indemnify and hold harmless Dynasty Exchange from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

13. Term, Suspension & Termination

These Terms remain in effect while you use the Service. You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, pose a security or legal risk, or upon extended inactivity, with notice where reasonably practicable. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will survive.

14. Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. You and Dynasty Exchange each waive the right to a jury trial and to participate in a class action or class arbitration. The arbitration will be conducted in the English language and will take place in the county of our principal place of business in Michigan, or at another mutually agreed location.

15. Governing Law & Venue

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws principles, except as modified by the arbitration provision above. Any action not subject to arbitration will be brought exclusively in the state or federal courts located in the county of our principal place of business in Michigan.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (such as an in-app notice or email) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and Dynasty Exchange regarding the Service.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

17.3 No Waiver

No waiver by Dynasty Exchange of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Dynasty Exchange to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms, or your rights or obligations hereunder, without the prior written consent of Dynasty Exchange. Dynasty Exchange may freely assign or transfer its rights and obligations under these Terms without restriction.
